Terms of Service

These Terms of Service (the Terms) govern access to and use of WPLinker, a software-as-a-service platform operated by DOWNTIMESCOUT LTD., a company registered in England and Wales, with registered office at 128 City Road, London, United Kingdom, EC1V 2NX (WPLinker, we, us, or our).
By creating an account, purchasing a subscription, accessing the dashboard, connecting a WordPress website, creating a storefront, or otherwise using WPLinker, you agree to be bound by these Terms. If you use WPLinker on behalf of a company or other legal entity, you confirm that you have authority to bind that entity.
1. The WPLinker service
WPLinker provides software for publishers and website owners who wish to sell and manage guest post, article placement, backlink, and related publishing services. The platform may include website management, white-label storefronts, customer checkout flows, payment method configuration, invoice generation, WordPress plugin connectivity, order management, publishing queues, customer accounts, marketing integrations, support tickets, feature requests, notifications, activity logs, and administrative reporting.
WPLinker is a technology provider. Unless expressly stated otherwise in writing, we are not a party to transactions between sellers using WPLinker and their storefront customers. Sellers are responsible for their own services, pricing, tax treatment, legal compliance, customer communication, refunds, publication decisions, and fulfilment obligations.
2. Eligibility and account registration
You must be at least 18 years old and legally capable of entering into binding agreements to use WPLinker. You must provide accurate, complete, and up-to-date account, billing, company, and contact information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
We may require email verification, onboarding completion, active subscription status, two-factor authentication, or other security checks before granting or continuing access to parts of the platform.
3. Subscriptions, billing, and renewals
Access to paid WPLinker functionality requires an active subscription plan. Plans, prices, billing cycles, limits, and included features are shown on the pricing page or inside your account at the time of purchase. Fees are charged in advance unless otherwise agreed.
Payments for WPLinker subscriptions are processed by third-party payment providers such as Stripe or PayPal. WPLinker manages subscription access based on successful payment confirmation. A subscription will not be renewed or extended until payment has been successfully received or confirmed by the relevant payment provider.
You are responsible for ensuring that your payment method, billing details, tax information, and contact details remain accurate. If payment fails, we may suspend, restrict, or terminate access until payment is resolved.
4. Cancellation, suspension, and termination
You may cancel your subscription in accordance with the options available in your account. Cancellation prevents future renewal but does not automatically entitle you to a refund for the current billing period unless required by applicable law or expressly agreed by us.
We may suspend or terminate access immediately if we reasonably believe that you have breached these Terms, failed to pay fees, created security or abuse risk, used the platform unlawfully, infringed third-party rights, or exposed WPLinker, other users, or the public to legal, operational, or reputational risk.
After termination or expiry, access to paid features may stop and data may be retained or deleted in accordance with our Privacy Policy, legal obligations, backup practices, and legitimate business requirements.
5. White-label storefronts and seller responsibilities
WPLinker allows sellers to create storefronts on their own domains or subdomains, configure branding, company details, payment methods, invoice settings, product/service details, and buyer checkout flows. You are solely responsible for the accuracy and lawfulness of all storefront information, including company identity, pricing, tax settings, invoice numbering, payment instructions, service descriptions, terms presented to buyers, and any claims made through your storefront.
If you operate multiple storefronts for different companies, business units, or websites, you are responsible for ensuring that each storefront is configured with the correct legal, payment, tax, and operational details.
6. Storefront customers and buyer relationships
Your storefront customers may create buyer accounts, place orders, upload content, receive invoices, make payments, and view order history through storefront pages powered by WPLinker. The commercial relationship with those buyers remains between you and the buyer unless WPLinker expressly states otherwise.
You must provide your buyers with all legally required information, including seller identity, payment terms, refund policy, tax information, delivery expectations, and any publication conditions. You are responsible for handling buyer disputes, refunds, chargebacks, delivery issues, and legal requests connected to your storefront transactions.
7. WordPress websites, plugin connection, and publishing
WPLinker may connect to WordPress websites through the WPLinker Connector plugin and related APIs. You are responsible for ensuring that you own or are authorised to manage each connected website, that your WordPress installation is secure and maintained, and that you have permission to publish or modify content on it.
Automated publishing, category synchronisation, author selection, image handling, backlink placement, shortcodes, and similar features depend on website availability, plugin configuration, hosting environment, WordPress permissions, third-party services, and network conditions. We will use reasonable efforts to process publishing workflows, but we do not guarantee that every attempted publication, image transfer, backlink placement, or remote request will succeed.
8. Payments configured by sellers
Sellers may configure payment methods for their storefronts, including Stripe, PayPal, bank transfer, or other supported methods. You are responsible for your own payment provider accounts, credentials, webhook configuration, settlement, payout eligibility, chargebacks, refunds, fraud monitoring, tax treatment, and compliance with each provider's terms.
Bank transfer details and other manual payment instructions are provided by the seller and are not verified by WPLinker. Buyers and sellers remain responsible for confirming payment receipt before delivery where appropriate.
9. Taxes, VAT, invoices, and accounting
WPLinker may provide tools for invoice generation, VAT information, invoice numbering, billing profiles, and transaction records. These tools are operational aids only and do not constitute tax, legal, accounting, or financial advice.
You are responsible for determining whether VAT, sales tax, reverse charge treatment, exemptions, local invoicing rules, retention requirements, or other fiscal obligations apply to your business and storefront transactions. You should obtain advice from a qualified accountant or tax adviser for your jurisdiction.
10. Marketing integrations and communications
WPLinker may integrate with third-party marketing platforms, including GiantCampaign, to help sellers manage storefront customer lists and campaigns. You are responsible for obtaining required consent, providing required notices, respecting opt-outs, and complying with email marketing, anti-spam, and privacy laws applicable to your contacts and campaigns.
Transactional emails generated through WPLinker, including account, order, invoice, publishing, password, and notification emails, must not be used for unlawful, misleading, abusive, or unsolicited marketing purposes.
11. Acceptable use
You must not use WPLinker to do, facilitate, or promote anything unlawful, fraudulent, deceptive, harmful, abusive, infringing, defamatory, invasive of privacy, or contrary to applicable platform, payment provider, search engine, hosting provider, or advertising policies.
Without limitation, you must not: attempt to bypass security controls; interfere with platform operation; upload malware or malicious code; harvest data unlawfully; impersonate others; misrepresent ownership of websites; publish content without authority; process stolen payment data; use WPLinker for spam; or sell services that you cannot lawfully or practically fulfil.
12. Content, uploads, and intellectual property
You retain ownership of content you upload or configure in WPLinker, including logos, brand assets, articles, images, website information, storefront text, service descriptions, and customer communications. You grant WPLinker a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, reproduce, and use such content as necessary to provide, secure, improve, and support the service.
You confirm that you have all rights and permissions needed for content submitted through WPLinker, including article text, images, links, brand assets, and buyer materials. We may remove or restrict content where we reasonably believe it breaches these Terms, law, third-party rights, or platform safety requirements.
WPLinker, our software, designs, workflows, documentation, branding, and underlying technology remain owned by us or our licensors. No rights are granted except as expressly stated in these Terms.
13. Third-party services
WPLinker may rely on or integrate with third-party services, including hosting providers, payment processors, email providers, analytics tools, CAPTCHA providers, WordPress, GiantCampaign, Google, Cloudflare, hCaptcha, and similar services. Your use of third-party services may be subject to their own terms and privacy policies.
We are not responsible for third-party outages, errors, account restrictions, policy changes, data handling, pricing, or provider decisions outside our reasonable control.
14. Service availability and changes
We aim to provide a reliable and professional service, but WPLinker is provided on an as is and as available basis. We do not guarantee uninterrupted access, error-free operation, permanent availability of every feature, or compatibility with every hosting setup, WordPress configuration, browser, plugin, payment provider, or third-party API.
We may update, improve, modify, suspend, or discontinue features where necessary for security, compliance, performance, product direction, or business reasons. We will use reasonable efforts to avoid unnecessary disruption to active customers.
15. Support, feature requests, and feedback
Support may be provided through the dashboard, email, or other channels we make available. Response times and resolution times may vary depending on plan, priority, complexity, workload, and third-party dependencies.
If you submit feedback, ideas, or feature requests, you grant WPLinker permission to use them without restriction or compensation, unless separately agreed in writing.
16. Confidentiality and security
You must treat non-public WPLinker information, credentials, API keys, webhook secrets, connection tokens, and security information as confidential. You must promptly notify us if you suspect unauthorised access, credential exposure, or misuse of your account or connected websites.
We implement reasonable technical and organisational measures to protect the platform, but no system is completely secure. You are responsible for using strong passwords, enabling security features where appropriate, limiting access to your account, and maintaining secure WordPress and hosting environments.
17. Disclaimers
WPLinker does not guarantee search engine rankings, SEO outcomes, buyer demand, publication acceptance, revenue, payment approval, tax compliance, legal compliance, or successful delivery of any specific seller service. You remain responsible for your business decisions and customer obligations.
18. Limitation of liability
To the fullest extent permitted by law, WPLinker and DOWNTIMESCOUT LTD. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, or costs of substitute services.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to WPLinker or these Terms will not exceed the fees paid by you to us for the WPLinker subscription during the three months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.
19. Indemnity
You agree to indemnify and hold harmless WPLinker, DOWNTIMESCOUT LTD., and our directors, employees, contractors, and agents from claims, losses, liabilities, damages, costs, and expenses arising from your storefronts, seller services, connected websites, buyer relationships, content, payment or tax obligations, breach of these Terms, or violation of law or third-party rights.
20. Data protection
Our handling of personal data is described in our Privacy Policy. Where you use WPLinker to process personal data of your storefront customers, you are normally the data controller for that buyer relationship, and WPLinker acts as a processor or service provider for the platform functions we perform on your behalf, except where we process data for our own legitimate business, legal, security, billing, or compliance purposes.
21. Changes to these Terms
We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users, for example by email, dashboard notice, or website notice. Continued use of WPLinker after the effective date of updated Terms means you accept the updated Terms.
22. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Subject to any mandatory consumer or local law rights that cannot be excluded, the courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms or WPLinker.
